I cannot tell from these photos if the coin is MS or lower, it does not look to be a full step coin.  As to if it is worth grading depends on what you want to do with it, if your goal is to sell it then from the photos in your op I would say no.   If your goal is to place it into a registry set then it may be worth it to you, that will depend on your goals for that set.   If your goal is protecting the coin from any damage there are many far less expensive options than slabbing.

No. Value 5-cents. In 1940 that nickel would buy a 6-1/2 oz ice cold Coke; today it will not buy the ice or cold.
